Profile

Experienced and dedicated Corporate Lawyer with a demonstrated history of activity in high-profile and complex corporate commercial transactions. I have acted for a wide range of local and international, listed and unlisted clients in a number of industries, such as aviation; telecommunications; mining; clothing, textile, footwear, and leather; logistics; and FMCG. My experience includes but is not limited: to conducting legal research and advisory work on matters relating to mergers and acquisitions, private equity, and general commercial and company law, as well as drafting and negotiating a variety of bespoke commercial documents.

Matthew's role as a Foreign Qualified Lawyer includes, but is not limited to drafting, reviewing, and amending commercial and legal documents (such as company constitutions, shareholders’ agreements, loan agreements, share purchase agreements, sale of business agreements, escrow agreements, lease agreements, exchange agreements, board, shareholder and trust resolutions); leading meetings; conducting due diligence reviews and compiling reports; adhering to the financial disciplines of the firm, attending to company secretarial matters; and conducting legal research.

Recent Experience

From my previous Job as an Associate Attorney at ENSafrica:

Drafting the transactional and constitutional documents that would enable key executives, via the Management Company, to indirectly hold shares in the Target Company. This formed part and parcel of the broader M&A transaction, which was an acquisition of Target by the Acquirer.

Seconded as Legal Counsel to Janssen Pharmaceutica (a wholly owned subsidiary of Johnson & Johnson), to support the business in South Africa and Sub-Saharan Africa with legal and compliance advice.

Seconded as Legal Counsel to The Solidarity Response Fund to assist with, among other things, the review, drafting and management of the various contracts that were required in order to disburse funds to the various beneficiaries. I was also required to manage a team of four junior lawyers, as I was the lead associate on the matter. The Solidarity Response Fund NPC was established by the government of the Republic of South Africa as a relief fund to deal with the Covid-19 pandemic and the floods that occurred in South Africa in 2022.

Seconded as legal counsel to Discovery Health, South Africa's largest administrator of medical schemes, for a period of 3 months to assist them with reviewing and drafting various commercial contracts, as well as regulatory and compliance advice, in anticipation of the Africa-wide launch of their various health insurance products.
